These Terms of Service ("Terms") govern your access to and use of the services provided by Kinwell ("we," "us," or "our"), including our website, AI-powered tools, and agent services for childcare centers. By subscribing to or using our services, you agree to these Terms.
Kinwell provides AI-powered operational tools and managed AI agent services designed specifically for childcare and daycare centers. Our services include, depending on your subscription tier:
Subscriptions are billed on either a monthly or annual basis, as selected at signup. Monthly subscriptions renew automatically each month. Annual subscriptions are billed upfront for 12 months and renew automatically at the end of the term.
Founding member pricing is available to a limited number of early subscribers at a discounted rate. If you enroll at a founding member price, that rate is locked for 12 consecutive months from your enrollment date. After 12 months, your subscription will renew at the then-current standard rate unless you cancel before renewal.
We may adjust our standard pricing at any time. Existing subscribers will receive at least 30 days' notice of any price increase. Founding member pricing is not subject to increase during the locked period.
Our AI agents generate draft content including but not limited to parent communications, marketing emails, social media posts, review responses, and compliance documentation. All AI-generated content is provided as drafts for your review. You are responsible for reviewing, editing, and approving all content before it is sent to parents, posted publicly, or used in any official capacity.
Kinwell does not guarantee the accuracy, completeness, or regulatory compliance of AI-generated content. You are responsible for ensuring all communications from your center meet applicable laws and regulations.

All Kinwell tools, templates, prompt libraries, compliance checklists, and training materials are our proprietary intellectual property. Your subscription grants you a non-exclusive, non-transferable license to use these materials for your center's operations during your active subscription period.
Content generated by our AI agents specifically for your center (such as customized emails, social posts, and reports) belongs to you once delivered.
All plans include a 30-day satisfaction guarantee. If you are not satisfied with our services within the first 30 days of your initial subscription, contact us for a full refund. See our Refund Policy for complete details.
You may cancel your subscription at any time by contacting us via email. Upon cancellation:
To the maximum extent permitted by law, Kinwell's total liability for any claims arising from your use of our services is limited to the amount you paid for the service during the 3 months preceding the claim.

You agree to indemnify and hold Kinwell harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your distribution of AI-generated content without proper review.
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 30 days before they take effect. Your continued use of our services after the effective date of updated Terms constitutes your acceptance of those changes.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
